1. Acceptance of Terms
By accessing or using the Aureum Vault website (aureumvault.com.au) or platform services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our services.
These Terms constitute a legally binding agreement between you and Urbancodered Pty Ltd (trading as Aureum Vault) ("we", "us", "our").

2. Eligibility
To use Aureum Vault, you must:
- Be at least 18 years of age
- Have legal capacity to enter into binding contracts
- Not be prohibited from using our services under applicable law
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations
Certain features may require additional eligibility criteria, such as wholesale investor status or minimum investment capacity.
3. Platform Services
Aureum Vault provides a technology platform that connects buyers and sellers of alternative assets. Our services include:
- Member registration and verification
- Deal listing and discovery
- Communication facilitation between parties
- Document sharing and management
- Transaction coordination support
Important: Aureum Vault is a technology platform only. We are not a party to transactions between users, do not provide financial advice, and are not responsible for the accuracy of listings or the performance of transactions.
4. Membership
4.1 Registration
To access certain features, you must create an account and complete verification processes including KYC/AML checks.
4.2 Membership Tiers
We offer tiered membership with varying levels of access and benefits. See our Membership page for details.
4.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.
4.4 Termination
We may suspend or terminate your account at our discretion, with or without cause, with or without notice. You may terminate your account at any time by contacting us.
5. Deal Listings
5.1 Seller Responsibilities
Users submitting deals warrant that:
- They have authority to list the asset
- Information provided is accurate and not misleading
- The asset does not infringe third-party rights
- They will comply with all applicable laws
5.2 Buyer Responsibilities
Users expressing interest warrant that:
- They have appropriate investment capacity
- They meet eligibility requirements
- They will conduct their own due diligence
- They have sought independent advice
5.3 Platform Discretion
We reserve the right to reject, remove, or modify any listing at our discretion without liability.
6. Fees and Payment
6.1 Membership Fees
Membership fees are payable annually in advance. Fees are non-refundable except as required by law.
6.2 Transaction Commissions
Commission fees apply to completed transactions as disclosed at the time of listing or membership signup.
6.3 Fee Changes
We may change fees with 30 days' notice. Continued use after notice constitutes acceptance of new fees.
7. Intellectual Property
7.1 Our Property
All content on Aureum Vault (logos, text, graphics, software) is our property or licensed to us and protected by copyright and trademark laws.
7.2 Your Content
You retain ownership of content you submit. By submitting, you grant us a license to use, display, and distribute that content on our platform.
7.3 Restrictions
You may not copy, modify, distribute, or create derivative works from our content without explicit permission.
8. Disclaimers
NO WARRANTIES: Aureum Vault is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for purpose, or non-infringement.
We do not warrant that:
- The platform will be uninterrupted or error-free
- Defects will be corrected
- The platform is free of viruses or harmful components
- Listings are accurate, complete, or current
- Transactions will be successful
9. Limitation of Liability
MAXIMUM LIABILITY: To the maximum extent permitted by law, Aureum Vault's total liability to you for any claim is limited to the fees you paid in the 12 months preceding the claim.
We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss or corruption of data
- Personal injury or property damage
- Conduct of third parties (including other users)
- Transaction outcomes or investment performance
10. Indemnification
You agree to indemnify and hold harmless Aureum Vault, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the platform
- Your violation of these Terms
- Your violation of third-party rights
- Your submissions or conduct
11. Privacy
Your use of Aureum Vault is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
13. Dispute Resolution
Before commencing legal proceedings, you agree to attempt to resolve disputes through good faith negotiation. If unresolved after 30 days, disputes may be referred to mediation.
14. Changes to Terms
We may update these Terms at any time. We will notify you of material changes by email or website notice. Continued use after changes constitutes acceptance of new Terms.
15. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will continue in full effect.
