This Broker Agreement ("Agreement") is entered into between the undersigned broker ("Broker") and Aureum Vault ("Company"), establishing the terms and conditions for broker registration and participation in the Aureum Vault network.
1. DEFINITIONS
In this Agreement:
- "Referral" means introduction of a qualified buyer, seller, or investor to the Company
- "Commission" means the fee payable to Broker upon successful completion of a transaction
- "Qualified Lead" means a referral that meets the Company's criteria for potential clients
- "Transaction" means a completed sale, purchase, or investment facilitated through the Company
2. BROKER REGISTRATION
2.1 Eligibility
To register as a Broker with Aureum Vault, the applicant must:
- Hold a valid real estate license (where applicable)
- Have no criminal convictions related to fraud or financial crimes
- Provide proof of professional indemnity insurance
- Agree to background verification
- Commit to ethical business practices
2.2 Registration Process
Upon approval of the registration application, the Broker will:
- Receive a unique broker identifier
- Be granted access to the broker portal
- Be provided with marketing materials and guidelines
- Be listed in the Company's broker network (optional)
3. BROKER RESPONSIBILITIES
3.1 Professional Conduct
The Broker agrees to:
- Act honestly and with integrity in all dealings
- Comply with all applicable laws and regulations
- Not make false or misleading representations
- Maintain confidentiality of client information
- Avoid conflicts of interest
- Disclose any relevant relationships or interests
3.2 Referral Guidelines
All referrals must:
- Be genuine potential clients
- Have consented to being referred
- Not have been previously referred by another broker
- Be accompanied by accurate contact information
3.3 Prohibited Activities
The Broker shall not:
- Engage in misleading or deceptive conduct
- Accept secret commissions or kickbacks
- Disclose confidential Company information
- Market the Company's services without authorization
- Represent themselves as an employee of the Company
4. COMMISSION STRUCTURE
4.1 Commission Rates
Commission is payable to the Broker based on completed transactions:
- Property Sales: [X]% of Company's commission on referred sales
- Buyer Referrals: [X]% of Company's commission on successful purchases
- Investment Referrals: [X]% of applicable fees on completed investments
4.2 Payment Terms
Commission is payable:
- Only upon successful completion of the transaction

4.3 Commission Disputes
In case of disputes over commission:
- The Company's records shall be the primary evidence
- Disputes must be submitted in writing within 30 days
- The Company's decision is final
5. CONFIDENTIALITY
5.1 Confidential Information
The Broker agrees to keep confidential:
- All client information and details
- Transaction terms and pricing
- Company processes and methodologies
- Other broker information
5.2 Duration
Confidentiality obligations survive termination of this Agreement for a period of 5 years.
6. INTELLECTUAL PROPERTY
The Broker may use Company-approved marketing materials during the term of this Agreement. All intellectual property remains with the Company. Upon termination, all materials must be returned or destroyed.
7. TERM AND TERMINATION
7.1 Term
This Agreement is valid for 12 months from the date of execution and renews automatically unless terminated.
7.2 Termination
The Company may terminate this Agreement:
- With 30 days written notice
- Immediately for breach of this Agreement
- Immediately for unethical or illegal conduct
7.3 Effect of Termination
Upon termination:
- All pending commissions remain payable
- No new referrals may be made
- Confidentiality obligations continue
- Materials must be returned
8. INDEMNIFICATION
The Broker agrees to indemnify the Company against any losses arising from:
- Breach of this Agreement by the Broker
- Negligence or misconduct by the Broker
- Third-party claims related to Broker's actions
9. LIMITATION OF LIABILITY
The Company's liability to the Broker is limited to the amount of commissions payable. The Company is not liable for any indirect or consequential losses.
10. GOVERNING LAW
This Agreement is governed by the laws of Australia. Any disputes shall be resolved through binding arbitration in accordance with Australian law.
