Aureum Vault

This Membership Agreement ("Agreement") is entered into between the undersigned member ("Member") and Aureum Vault ("Company"), regarding membership in the Aureum Vault private investment network.

1. MEMBERSHIP TERMS

1.1 Eligibility

Membership in Aureum Vault is by application only and subject to approval. Members must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information on all application materials
• Meet any additional eligibility criteria as determined by the Company

1.2 Membership Types

Aureum Vault offers the following membership tiers:

• Standard Membership: Access to standard investment opportunities and member resources
• Premium Membership: Priority access to exclusive deals, dedicated support, and enhanced investment opportunities
• Executive Membership: Full access to all opportunities, personalized advisory services, and premium networking events

1.3 Membership Fees

Membership fees are due upon approval of membership application and annually thereafter. Current fees are as published on the Company's website and are subject to change with 30 days written notice.

2. MEMBER RESPONSIBILITIES

2.1 Confidentiality

Members agree to maintain strict confidentiality regarding:

• All investment opportunities shared through the platform
• Personal and financial information of other members
• Proprietary methodologies and processes of the Company
• Any information marked as confidential

2.2 Professional Conduct

Members agree to conduct themselves professionally and ethically at all times, including:

• Acting with integrity in all dealings
• Respecting the privacy and rights of other members
• Complying with all applicable laws and regulations
• Avoiding any activities that could harm the reputation of the Company

3. INVESTMENT GUIDELINES

3.1 Investment Decisions

While Aureum Vault provides access to investment opportunities, all investment decisions are made at the Member's sole discretion. The Company does not provide personalized investment advice and Members should conduct their own due diligence.

3.2 Risk Acknowledgment

Members acknowledge that:

• All investments carry inherent risks
• Past performance is not indicative of future results
• Members may lose some or all of their investment
• The Company is not liable for investment losses

4. INTELLECTUAL PROPERTY

All content, materials, and intellectual property provided through Aureum Vault remain the property of the Company or its licensors. Members receive a limited, non-transferable license to use such materials solely for personal investment purposes.

5. TERMINATION

5.1 Termination by Member

Members may terminate their membership at any time by providing written notice. Membership fees are non-refundable.

5.2 Termination by Company

The Company may terminate membership for:

• Violation of this Agreement
• Conduct detrimental to the Company or other members
• Providing false information on application materials
• Failure to pay membership fees

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Aureum Vault shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or membership.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes shall be resolved through binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration.

8. AMENDMENTS

The Company reserves the right to amend this Agreement at any time. Members will be notified of material changes and continued membership constitutes acceptance of amended terms.
