This Seller Agreement ("Agreement") is entered into between the undersigned property owner ("Seller") and Aureum Vault ("Company"), establishing the terms and conditions for listing and selling property through the Aureum Vault platform.
1. DEFINITIONS
In this Agreement:
- "Property" means the real estate asset being offered for sale by the Seller
- "Listing Price" means the asking price for the Property as specified by the Seller
- "Sale Price" means the final agreed price between Seller and Buyer
- "Commission" means the fee payable to Aureum Vault upon successful sale
2. SELLER REPRESENTATIONS
The Seller represents and warrants that:
- They are the legal owner(s) of the Property or have authority to sell
- The Property is free from all encumbrances not disclosed in writing
- All information provided about the Property is accurate and complete
- They have authority to enter into this Agreement
- There are no pending legal proceedings affecting the Property
- All required consents for sale have been obtained
3. LISTING TERMS
3.1 Exclusive Listing
This Agreement grants Aureum Vault the exclusive right to market and sell the Property for a period of [X] months from the date of execution. During this period, the Seller shall not list the Property with any other agent or platform.
3.2 Property Information
The Seller agrees to provide complete and accurate information about the Property, including:
- Property description and features
- Known defects or issues
- Planning and zoning information
- Rental history (if applicable)
- Utility connections and costs
- Body corporate information (if applicable)
3.3 Marketing
Aureum Vault will market the Property through appropriate channels, including:
- Listing on the Aureum Vault platform
- Targeted marketing to qualified buyers
- Professional photography and descriptions
- Arranging inspections for qualified buyers
4. COMMISSION AND FEES
4.1 Commission
Upon successful sale of the Property, the Seller agrees to pay Aureum Vault a commission of [X]% of the Sale Price (plus GST if applicable).
4.2 Marketing Costs
The Seller agrees to reimburse reasonable marketing costs up to $[X], including:
- Professional photography
- Property styling (if required)
- Advertising costs
4.3 Payment
Commission and fees are deducted from the sale proceeds at Settlement.
5. SALE PROCESS
5.1 Offers
All offers received will be promptly communicated to the Seller. The Seller has the right to accept, reject, or negotiate any offer.
5.2 Contract
Upon acceptance of an offer, a standard contract of sale will be executed between Seller and Buyer.
5.3 Settlement
The Seller agrees to complete all requirements for Settlement as specified in the contract of sale.
6. SELLER OBLIGATIONS
The Seller agrees to:
- Disclose all known defects and issues with the Property
- Allow reasonable access for inspections and valuations
- Maintain the Property in its current condition until Settlement
- Respond promptly to communications
- Act in good faith throughout the transaction
- Pay all fees and commissions as agreed
7. CONFIDENTIALITY
The Seller agrees to maintain confidentiality regarding:
- Buyer identities and financial information
- Negotiation details
- Aureum Vault's processes and buyer network
8. TERMINATION
8.1 By Seller
The Seller may terminate this Agreement:
- After the exclusive period expires
- If Aureum Vault breaches this Agreement
8.2 By Company
Aureum Vault may terminate this Agreement:
- If the Seller breaches this Agreement
- If the Seller provides false or misleading information
9. LIMITATION OF LIABILITY
Aureum Vault acts as an intermediary and is not liable for:
- Buyer defaults or failures to complete
- Property condition issues not disclosed by Seller
- Market fluctuations affecting sale price
10. GOVERNING LAW
This Agreement is governed by the laws of Australia. Any disputes shall be resolved in accordance with Australian property law.
